Order of priority when the sum insured is insufficient

The order of priority in cases where the sum insured is insufficient is clearly established in favor of the managing directors/governing bodies. This is an important consideration in the event of a claim.

Partial challenge

Partial rescission is provided for only against persons acting in bad faith; the contract remains in force with respect to insured persons acting in good faith (vP) – explicitly vP-friendly! Very important and significant: the Cologne Higher Regional Court’s ruling on Greensill dated February 10, 2026, following the Federal Court of Justice’s “Heros II” ruling.

Cyberattack and failure to comply with NIS 2 reporting requirements

A ransomware attack temporarily paralyzes core IT systems and operational processes. Due to organizational constraints, the NIS2 reporting deadlines mandated by law are missed; regulatory authorities criticize the lack of monitoring and inadequate incident response processes.

Delaying Filing for Bankruptcy Following a Liquidity Crisis

Despite the company having become insolvent or over-indebted, the petition for bankruptcy is filed late. The bankruptcy trustee demands repayment of payments made after the company became insolvent and asserts liability claims against members of the executive body.

SME Case: Prohibited Payment to Shareholders

Management authorizes a payment to a shareholder even though the company’s financial situation is strained and no adequate capital or liquidity review has been documented. After further losses occur, the company or the insolvency administrator demands repayment of the payment on the grounds of a violation of capital maintenance regulations and seeks recourse against the members of the executive body.
